Case Study
Lawyers of the firm counseled on the acquisition of a large agricultural enterprise with assets with a total value of more than two billion rubles. According to the client’s request, we identified the beneficiary owners of enterprises and investigated their relations concerning the enterprise under review, identifying the companies and assets under the control of the group. The file helped the client in effectively negotiating and reaching a better deal.

Case Study
Our team gave tax and legal support to optimize management of real estate worth one billion rubles. We gave comprehensive legal support of assets restructuring and optimization of real estate management by a group of persons (several legal entities and individuals), advising on tax accounting and reporting of ownership: analyzing the existing ownership structure, developing options to change it and evaluating these options from the tax perspective.
 
 As a result, an optimal choice was done.
Tax law and tax disputes
Our team of lawyers regularly accompanies several parallel tax disputes. As a rule, such projects are burdened by the intervention of law enforcement agencies. Our key role is to apply "tax reconstruction", as well as to confront the Russian Federal Tax Service as a "super creditor" in order to reduce the risk of beneficiaries being held vicariously liable.

Case Study
The lawyers of our company supported the project to challenge the tax audit act, where in 2022 the objections to the act were prepared, the objections to the supplementary act based on the results of additional tax control measures were filed in 2023, and the client’s interests were represented in the tax authority as well.
Based on the results of an on-site tax audit, the tax authority concluded that our client unlawfully accepted VAT for deduction, reduced income tax and committed other tax violations. The charges were successfully challenged at the pre-trial stage of the dispute.
The tax authority issued a decision to refuse to bring to tax liability: the company was not assessed additional taxes, penalties and fines.

Case Study
The client gave a loan secured by real estate. The seller was declared bankrupt. The bankruptcy manager filed a claim to challenge the debtor's transactions on the mortgage of real estate.
In support of the claim, he pointed out that the market value of the mortgaged real estate exceeded the estimate under the mortgage agreement; the loan agreement was not concluded, but covered up another transaction.
Our defense allowed the client to dismiss the claim, remove the bankruptcy manager and secure the exclusion from the register of claims of other creditors.
Case Study
The Eastern Caribbean Supreme Court in the High Court of Justice (British Virgin Islands) granted the request of the claimant and our attorney as an expert was engaged in a lawsuit to restore the company to the British Virgin Islands Commercial Registry.
